Notice is hereby given that the Annual General Meeting of Civic Voice 2018

Notice is hereby given that the Annual General Meeting of Civic Voice 2018 will be held at Birmingham Repertory Theatre (The Rep), Centenary Square, Broad Street, Birmingham B1 2EP on Saturday 20th October 2018 at 9.00 am for the purpose of transacting the following business:

  • To agree the minutes for AGM 2017-18 (available here).
  • Ratification of annual report and accounts 2017-18 – Martin Gunson, Treasurer (available here).
  • Appointment of Messrs McMillan and Co LLP Chartered Accountants as independent examiners – proposed by Martin Gunson, Treasurer
  • Ratification of Chair and Treasurer for 2018-2019
  • To approve changes to Civic Voice's Articles of Association as shown here and background explanatory note here. The full Articles of Association can be accessed here
  • A full agenda is available on the Civic Voice conference website here.

The AGM is free for Civic Voice members to attend, but registration is required here so that we can provide final registration details to the venue. 

By order of the Board of Civic Voice

* All civic societies who are members of Civic Voice have a right to appoint a proxy to exercise all or any of their rights to attend, speak and vote at the meeting.

* All Civic Voice members have a right to ask a question at the AGM, but must put in writing, said question, 14 days before the AGM to the Secretary at .(JavaScript must be enabled to view this email address).

* Only representatives of civic societies, who are members, are entitled to speak and vote at the meeting.

* Ten or more members (or such higher or lower number of members as is determined by the Board from time to time) may, acting together, require the Board to add an advisory resolution to the agenda for the annual general meeting provided that they give the Board notice of this requirement in Writing at least 56 Clear Days before the date of the annual general meeting in question. This is subject to Articles 23.2 and 23.4.

* Any advisory resolution that is added to the agenda pursuant to Article 23.1 must be proposed at the annual general meeting, and may be voted on, but an advisory resolution shall not constitute a resolution for the purposes of the Act or these Articles. The outcome of any vote on an advisory resolution shall not be binding on the Board or the Charity, but the Board must give a reasoned response to any subjects so raised.
